These general terms and conditions apply to all offers, assignments and agreements of V-Media BV, trading under the name VideoPod. By making a booking or confirming an assignment you accept these terms.

Article 1 — Definitions

In these terms:

  1. V-Media BV / VideoPod: the Dutch private limited company V-Media B.V., established in Amsterdam, KvK 84418338, operating under the trade name VideoPod.
  2. Client: the natural or legal person placing an assignment, both business clients and consumers.
  3. Business client: a natural or legal person acting in the course of a business, trade or profession.
  4. Consumer: a natural person not acting for purposes related to their commercial, business, craft or professional activity.
  5. Production: a recording session or comparable service delivered by VideoPod.
  6. Content: the audiovisual material created during a production.
  7. Distance contract: an agreement between VideoPod and a consumer concluded remotely through website, email, telephone or comparable means of communication.

Article 2 — Applicability

2.1 These terms apply to every offer, quote and agreement between VideoPod and client.

2.2 Business clients: these terms apply in full. Any general terms of business clients are expressly rejected.

2.3 Consumers: where an assignment is placed by a consumer, these terms apply in addition to and in conjunction with the mandatory provisions of Books 6 and 7 of the Dutch Civil Code. Provisions of these terms that would operate to the detriment of the consumer do not apply insofar as they conflict with mandatory law. Articles 5.5, 5.6, 6 and 15 contain provisions that apply specifically to consumers.

2.4 Deviations from these terms are valid only when agreed in writing.

2.5 Before a distance contract is concluded, VideoPod makes the text of these terms electronically available to the consumer in a way that allows the consumer to easily store them on a durable medium.

Article 3 — Services

VideoPod provides videopodcast productions, including:

  • Studio recordings (audio + video)
  • Editing and post-production
  • Delivery in formats suitable for podcast platforms and social media
  • Additional services such as short-form clips, subtitling and distribution

Specific packages, prices and inclusions are listed on staging.videopod.nl and are set out per assignment in a quote or order confirmation. All prices stated on staging.videopod.nl and in quotes are excluding 21 % VAT for business clients; for consumers prices are stated including 21 % VAT.

Article 4 — Formation of the agreement

4.1 An agreement is concluded when the client agrees in writing to the quote, or when a booking through Calendly is confirmed and accepted by VideoPod.

4.2 Bookings are final once the client has received the confirmation email from VideoPod.

4.3 Where a consumer has accepted an offer electronically, VideoPod confirms receipt of the acceptance electronically without delay. Until VideoPod has confirmed receipt, the consumer may cancel the agreement.

4.4 VideoPod takes appropriate technical and organisational measures to secure the electronic transmission of data and ensures a safe web environment.

Article 5 — Prices and payment

General

5.1 Prices for business clients are stated excluding 21% VAT, unless stated otherwise. Prices for consumers are stated including 21% VAT.

5.2 Unless agreed otherwise, invoicing takes place after the production, with a payment term of 14 days from the invoice date.

5.3 For assignments above EUR 2,500 (excluding VAT) VideoPod may require an upfront payment. For consumers this upfront payment is at most 50%; for business clients at most 30%.

5.4 Price changes: during the period of validity stated in the offer, prices are not increased, save for changes due to legal regulations or VAT-rate changes. Price increases within three months of conclusion of the agreement are only permitted with respect to consumers if they result from statutory regulations or provisions.

Default by business clients

5.5 If a business client exceeds the payment term, that client is in default without notice and owes the statutory commercial interest, increased by extrajudicial collection costs in accordance with the Dutch Act on Standardisation of Extrajudicial Collection Costs (WIK).

Default by consumers

5.6 If a consumer does not pay on time, default occurs only after VideoPod has pointed out the late payment and granted the consumer a 14-day period to still meet the payment obligation. If payment is not received within that 14-day period, statutory interest is owed over the outstanding amount and VideoPod is entitled to charge extrajudicial collection costs in accordance with the WIK schedule: at most 15 % over outstanding amounts up to EUR 2,500, 10 % over the next EUR 2,500 and 5 % over the next EUR 5,000, with a minimum of EUR 40.

Article 6 — Right of withdrawal (consumers)

6.1 Where a consumer concludes a distance service agreement, the consumer in principle has the right to cancel the agreement within 14 days without giving reasons. The cooling-off period starts the day after the agreement is concluded.

6.2 Exclusion of the right of withdrawal: The right of withdrawal does not apply to:

  • a. a production for which a specific date of performance has been agreed (Section 6:230p(e) of the Dutch Civil Code: service agreements for leisure activities with a specific date or period);
  • b. a production where performance, with the consumer's express prior consent, began before the end of the cooling-off period and where the consumer has declared to lose the right of withdrawal once VideoPod has fully performed the agreement (Section 6:230p(d) of the Dutch Civil Code).

VideoPod clearly states this exclusion in the offer and the order confirmation, in accordance with the statutory information obligation.

6.3 The right of withdrawal is exercised by sending an unambiguous statement within the cooling-off period to hallo@staging.videopod.nl or by using the model withdrawal form (Annex I).

6.4 If the consumer validly withdraws the agreement while performance has already begun with their express consent, the consumer owes VideoPod an amount proportional to the part of the assignment that had been performed at the time of withdrawal.

6.5 VideoPod refunds any amounts already received, minus the proportional amount referred to in 6.4, within 14 days after receipt of the withdrawal, using the same payment method as the consumer used, unless agreed otherwise.

Article 7 — Cancellation and rescheduling

7.1 The client may reschedule a booked production free of charge up to 48 hours before the scheduled start.

7.2 If the client cancels within 48 hours before the start, the client owes 50% of the assignment amount.

7.3 If the client cancels within 24 hours before the start, or in case of a no-show, the client owes the full assignment amount .

7.4 Rescheduling is possible provided the new date falls within 90 days of the original and the studio is available.

7.5 VideoPod reserves the right to reschedule a production in case of force majeure (see article 12). In that case the parties jointly plan a new date at no additional cost.

7.6 This article is without prejudice to the consumer's right of withdrawal under article 6, where applicable.

Article 8 — Client's obligations

8.1 The client ensures the timely presence of all guests and participants and prepares them substantively.

8.2 The client warrants that all participants in the production have given their consent to the recording of audio and video, and indemnifies VideoPod against any third-party claims relating to portrait or copyright.

8.3 The client refrains from statements that are punishable under criminal law (slander, defamation, sedition, discrimination). VideoPod reserves the right to terminate a recording where this requirement is not met, without refund.

Article 9 — Delivery

9.1 Delivery times are indicative unless expressly agreed as a strict deadline.

9.2 By default, raw audio material is delivered within 3 working days after recording; edited material within 10 working days, unless agreed otherwise.

9.3 The client is entitled to one feedback round per production, provided it is submitted within 7 days of delivery. Additional rounds are charged at hourly rate.

Article 10 — Intellectual property

10.1 Upon full payment of the invoice, VideoPod transfers the copyright in the final production to the client, except for the rights set out in 10.2.

10.2 VideoPod retains the right to use (parts of) the production for portfolio, marketing and promotion of its own services, unless agreed otherwise in writing.

10.3 Raw recording files remain VideoPod's property and are not delivered by default. Delivery of raw material can be agreed separately for an additional fee.

10.4 The client is not allowed to use VideoPod's name, logo or trademarks without prior written consent.

Article 11 — Liability

11.1 VideoPod's liability is limited to the amount paid out by its liability insurance, or, in the absence of any payment, to the amount of the assignment (excluding VAT) with a maximum of EUR 5,000.

11.2 VideoPod is not liable for indirect damages, consequential damages, lost profits, missed savings or reputational damage.

11.3 The limitations of liability in this article do not apply where the damage results from intent or gross negligence on the part of VideoPod or its directors.

11.4 The limitations of liability in this article apply to consumers only insofar as they do not conflict with mandatory consumer-protection law.

Article 12 — Force majeure

12.1 Force majeure means any circumstance beyond VideoPod's will and control, including but not limited to: illness of crew, technical failures that could not reasonably be prevented, fire, power outage, war, pandemic, transport restrictions.

12.2 In case of force majeure VideoPod is entitled to suspend the assignment or, if continuation is not reasonably possible, to terminate the assignment without compensation. Amounts already paid for services not yet delivered are refunded.

Article 13 — Confidentiality

Both parties undertake to keep confidential any confidential information exchanged in the context of the assignment. This obligation remains in force after termination of the agreement.

Article 14 — Personal data

The processing of personal data is governed by our Privacy Policy .

Article 15 — Complaints

15.1 VideoPod operates a known complaints procedure and handles complaints in accordance with this procedure.

15.2 Complaints about the performance of the agreement must be submitted to VideoPod, fully and clearly described, within a reasonable time after the client has noticed the defect, by email to hallo@staging.videopod.nl or in writing to the visiting address stated under "Identity of the company".

15.3 Complaints submitted to VideoPod are answered within 14 days of receipt. If a complaint requires a foreseeably longer processing time, the client receives an acknowledgement of receipt and an indication of when a substantive response can be expected.

15.4 The consumer gives VideoPod at least 4 weeks to resolve the complaint in mutual consultation. After this period a dispute arises that is open to the dispute-resolution procedure in article 16.

Article 16 — Governing law and jurisdiction

16.1 All agreements are governed exclusively by Dutch law.

16.2 Disputes are submitted in first instance to the competent court in Amsterdam, unless mandatory law designates a different court.

16.3 Notwithstanding the foregoing, the consumer has the right to bring a dispute before the court designated as competent under the Dutch Code of Civil Procedure.

Article 17 — Final provisions

17.1 If any provision of these terms is null and void or voidable, the remaining provisions remain in full force. The parties replace the invalid or voided provision with a provision that approximates the original as closely as possible.

17.2 Any additional or deviating provisions may not operate to the detriment of the consumer and must be recorded in writing or in such a way that the consumer can store them on a durable medium.

17.3 VideoPod may amend these terms. For ongoing agreements the terms in force at the time the agreement was entered into remain applicable.
